Corporate & Commercial

Ridgemont provides expert, pragmatic corporate and commercial law advice in the construction and real estate sectors. Our lawyers are technically excellent, sector aware and pragmatic. We take responsibility for formalising the commercial deals that you put together.

Our Corporate & Commercial team works closely with our Construction and Real Estate teams to advise our clients on investing in or developing real estate, negotiating finance and security and negotiating option agreements and other commercial contracts that document your commercial agreements in a way that optimises your legal position.

The Corporate & Commercial team also work closely with the Ridgemont Real Estate team to advise those investing in or developing commercial property on all of their financing, banking and related security issues.

We draft and negotiate a wide variety of contractual agreements from joint venture agreements to bespoke shareholder agreements.

We also advise on mergers and acquisitions, undertaking detailed due diligence, negotiating heads of terms and putting together the formal documentation you need to make your deal happen.

The team is particularly experienced in Ridgemont’s core sectors of construction and real estate, with clients ranging from high net worth individuals to substantial real estate funds and multi-million pound development vehicles, as well as lenders and investors.

Our experience includes:

  • Producing detailed and bespoke shareholder and other agreements for a multi-national corporate.
  • Advising various contractors and sub-contractors on the acquisition of plant and machinery.
  • Advising a UK corporate on the acquisition of a US corporate.
  • Drafting terms and conditions for numerous contractors and other participants in the construction and real estate sectors.

Our sister firm, Surenity, advises solely on employment and immigration issues, and provides corporate support to Ridgemont’s clients when required. Like Ridgemont, all Surenity’s lawyers are experienced, ex Big Law lawyers that specialise in their area of law.

Why Ridgemont?

Ridgemont’s team is made up of expert senior solicitors, all of whom previously worked in “Big Law” (i.e. the top 50 law firms in the UK).

We provide bespoke advice tailored to your needs.  Our advice is commercial and pragmatic, enabling you to use it effectively to make business decisions.

We have an expert understanding of construction law. We can guide you through the maze of corporate & commercial matters.

We are user-friendly.  Our lawyers speak in plain English, providing service levels akin to “Big Law”. We have built our processes to make onboarding as pain-free as possible. Our fee earner structure means that you have access to a partner-level solicitor at all times and they will always be on top of your matter.

We operate our business in an ethical way.  That means we think about what the “right thing to do” is when making a business decision.  As an example, we do not charge a default unit of time for incoming emails or letters as we think we ought to be paid for work done, not for merely receiving correspondence. We are also open and transparent on what we charge, meaning our clients never receive a surprising invoice.

We provide “Big Law” service levels and quality of advice, with expert senior solicitors providing commercial, pragmatic advice. Necessarily, that does not come cheap as we have to invest in great lawyers and everything they need to do their job. However, due to us having comparatively lower overheads to “Big Law” firms, we are able to charge less than they would for providing the same service levels and advice.

We are proactive in finding innovative ways to advise our clients in a cost proportionate way.

Who we act for?

We act for developers, contractors, sub-contractors, professionals and investors across a range of sectors from residential to retail.
